WHEREAS SCB is desirous to improve and/or develop its software system by way of using new qualified and efficient computer software system and/or equipment and/or services pursuant to the SOW (as defined below) (the “Project”);
WHEREAS Vendor is an efficient company engaging in the Information Technology business of providing software and/or hardware and/or relating services in respect of computer software planning, supplying, distributing, customizing and advising as well as overall computer systems development;
WHEREAS SCB wishes to acquire any of software and/or hardware distributed and/or licensed by Vendor (“Products”) requiring Vendor to provide such Products in connection with the SCB project; and, to install and integrate such software or programs onto or into the computer systems of SCB as well as to give advice and provide warranty, maintenance and training services in connection therewith, all of which in order to accomplish such SCB project (the “Services”); and
WHEREAS Vendor wishes to serve all of SCB’s requirements as stated and confirmed from time to time in the Ordering Document form attached hereto,
