(e) without just cause upon TRC providing the Employee notice of termination or severance pay during the first year of employment of one (1) month annual base salary for each completed month of service or, after completion of one (1) year of service, twelve (12) months annual base salary (the “severance payment”). Receipt of the severance payment will be conditional upon the Employee having executed a Release in substantially the same form as Schedule “A” attached hereto and subject to the Employee satisfying the legal duty to mitigate damages. At the end of each month, the Employee will provide TRC a statutory declaration confirming that the Employee has fulfilled the legal duty to mitigate by diligently seeking alternative employment, or advising that the Employee has secures alternative employment or engagement (including providing service as consultant or contractor) and specifying the employment, consulting or other earnings or fees received by the Employee that month. The severance payment will be subject to statutory deductions and will be paid to the Employee in monthly installments in arrears. Monthly severance payments will be reduced by the amount of any employment income or consulting earnings receives during the month in question. The monthly installment of the severance payment will not be paid until TRC has received the statutory declaration for the month in question and in compliance with this Article, to be determined by TRC in its sole discretion. TRC shall not be liable to provide notice, pay in lieu of notice or severance pay in excess of that provide in this clause.
