SCHEDULE II
MANAGEMENT TERMS SHEET
1. Standards of Operation
The Master Manager/Operator must:
(a) Operate and manage the Hotel during the Term as a high-end luxury hotel consistent with Master Manager’s/Operator’s standards; and
(b) Conduct those operations in accordance with the laws of the Kingdom of Thailand and (to the extent that the Master Manager/Operator considers this feasible and advisable) the local character and traditions of Koh Samui.
2. Master Manager’s/Operator’s control
The Master Manager/Operator will have complete control and discretion in the operation of the Hotel, including:
(a) The use of the Hotel for all customary purposes; and
(b) Terms of admission; and
(c) Charges for rooms, commercial space, entertainment and amusement, food and beverages and (where relevant) any other commercial areas; and
(d) Labour policies, wage rates and the hiring and discharging of employees; and
(e) Maintenance of bank accounts and holding funds in the Master Manager’s/Operator’s name; and
(f) All promotion and marketing for the Hotel.
