We can basically agree with all points, however regarding the fee per unit, we are wondering a) how much would this be? A fixed percentage or fixed amount per license? E.g. we don’t know at this point for what price we can sell (any) licenses as we have not contracted with customers at this points.
Even then in the first year or two of any agreement the OEM usually ramps up shipping and sales in a country from zero to X and license fee revenue share could be fairly low during this time.
We would suggest to up the flat fee with say, 30 or 40% or so and only pay the fixed fee per year and no revenue share as this might complicate things or be plainly disappointing.
