11. ANTI-CORRUPTION
11.1 Compliance. The Service Provider represents and warrants that it has not taken and will not take any action in relation to this Agreement that would be in violation of or that would expose or subject Monsanto to any liability or penalty under the applicable laws and regulations of its domicile and of the United States of America. In particular, the Service Provider acknowledges that it has received a copy of Monsanto’s Code of Conduct and Foreign Corrupt Practices Act (FCPA) Policy in the form as appended in the Appendix and has provided copies of same to its directors, shareholders and employees who will be performing services hereunder, and those directors, shareholders and employees have read and understood the contents of the Code and FCPA Policy. Further, the Service Provider warrants that its employees will comply with the FCPA Policy and will endeavour to live up to the Code in performing all activities undertaken pursuant to this Agreement. The Service Provider represents that no payments of money or anything of value will be offered, promised or paid, directly or indirectly, to any Officials to influence the acts of those Officials, to induce them to use their influence with a government or an instrument or institution thereof, or to obtain an improper advantage in connection with any business venture or contract in which Monsanto is a participant. The Service Provider agrees to certify compliance with the above representation when requested to do so by Monsanto. The Service Provider also represents that it has not given or promised any improper payments of money or anything of value to any Official for any reason whatsoever in relation to the performance of its services under this Agreement. The Service Provider further represents that it has not authorized any third person to make improper payments of money or anything of value to an Official for any reason whatsoever in relation to the performance of its services under this Agreement. The Service Provider warrants that it shall promptly notify Monsanto if it ever receives a request to take or omit to take any action that would or might violate its obligations under this provision.
