1. Obligations
1.1. Company’s obligations are as follows:
a. The Company shall provide the Service to the Bank and shall provide hardware, software and implementation which can support fifty (50) concurrent users and five hundred (500) total users throughout the Agreement period. The details of the Service are shown in the attachment of this Agreement and also form and integral part of the Agreement. The Company reserves the right to change or modify the details of the Service which is not having adverse effect to the Bank upon receiving the Service by giving written notice to the Bank thirty (30) days in advance.
b. The Company shall conduct training, which is integral part of Service, for using the Service to Bank’s staffs so that they can accurately, rapidly and effectively apply the Service throughout the Agreement period (the “Training”). The details of training are shown in the attachment of this Agreement. The number of staffs who will attend the training shall not exceed one hundred (100) persons of reasonable skill and experience (including, with reasonable skill and experience in the Third Party Software)
c. During the term of this Agreement, the Company will grant to Bank the license to use ENLITE data.
d. If the Company is unable to commence the Service within the specified period in this Agreement, the company agrees to temporarily provide another system with similar specifications to ENLITE to the Bank until the cause of the incident has been subsided and the Company be able to provide the Service to the Bank as the case may be. This is not deemed as breaching the Agreement.
e. The Company guarantees that the Company shall pay Maintenance Service fee to the third party for any software and/or hardware which used for ENLITE (if any) or renew such Maintenance Service Agreement throughout the term of this Agreement and the Company shall written notify such Maintenance Service renewal to the Bank.
f. The Company shall inform the Bank about the oracle version which used for ENLITE. In case of an Oracle audit, if any issue arises related to the database server(s) of ENLITE, The Company is fully responsible to address then close any technical or financial gap raised by Oracle.
