Re: Letter of Engagement for Services (“Engagement”) on behalf of Coriant (“Client”)
Subject to the terms and conditions of the Master Services Agreement between Humanica (“Supplier”) and CloudPay Asia PTE Limited (“CloudPay”), (the “Agreement”) dated 11 September 2014, CloudPay hereby engages Supplier for the purpose of providing the Services as described in the Schedule 1 ‘Engagement Specific Fees and Services’ attached hereto and incorporated herein. The Client is the intended beneficiary of the Services provided under this Engagement and no provision of this Engagement is intended to or confers upon any third party any benefit or right against Supplier or CloudPay. CloudPay does not guarantee that Supplier will be asked to perform any minimum amount of Services hereunder. Supplier hereby accepts such Engagement, and agrees to provide the necessary personnel to render the Services. All capitalised terms not defined in this Letter of Engagement shall have the meaning stated in the Agreement.
Included within the scope of this Engagement, Supplier shall;
(i) appoint a representative to act as a single point of contact for managing this Engagement; and
(ii) provide CloudPay with information and data concerning its operations and activities which relate to the provision of Services and which may be reasonably required by CloudPay in order to effectively monitor the Services for both management and compliance purposes.
