3.4 Lessee further acknowledges that in consideration of the performance by the Operator of all of its obligations hereunder, Operator shall have the exclusive right to operate the Hotel without interference by Lessee, any Lessor or the Condominium Juristic Person during the term of the Agreement. Lessee shall not, and shall ensure that Lessors and the Condominium Juristic Person shall not, interfere directly or indirectly with the day to day operations of the Hotel or request or require their approval for decisions to operate the Hotel. Operator has the sole discretion to operate the Hotel in accordance with Best Western standards and requirements and pursuant to the terms and conditions of this Agreement. Lessee agrees to take all necessary measures and legal actions, at its own cost and expense, that are necessary to maintain its rights to the Units and common areas of the Hotel under the Leases, including the Hotel’s contents and facilities, and safeguard the operation of the Hotel by Operator.
