On your personal issues, as I mentioned on the call:
1. There is no directors indemnity provision in the AoA of BLH that may cover any damage or loss that you may suffer in performing your duties as a director;
2. The Civil and Commercial Code does not contain any specific indemnity provisions in respect of the acts of a director, however section 816 of the CCC (see attached) does contain an express statutory right for an agent to claim against his principal for any loss or damage suffered from the performance or discharge of his agency and this would cover you in the performance of your duties as a director of Banyan.
3. You may wish to rely on this section of the CCC in considering the basis on which you can make a claim or have grounds to negotiate with shareholders that you should receive some compensation for you suffering as a consequence of TB’s actions against you as a director of BLH.
4. My recommendation to you would be that you start to consider the heading of loss that you have suffered (nervous shock; stress and mental trauma; assault, reputational issues etc.) and then ascribe a value to them.
5. It is not clear from my initial review of the D&O policy that your claim would be covered and I suspect that it may be difficult to.
Perhaps we can all arrange a time to speak on the above as we need to make sure that the approach to the broker/insurer is carried out in a way that we do not vitiate or prejudice the cover under the policy.
