Konica Minolta shall defend, indemnify and hold the Customer Group harmless from and against damages, cost or expense, reasonably incurred by Customer or Local Customer arising out of any claim or suit alleging that any of the Hardware Products or Software Products licensed by or through Konica Minolta infringe any Intellectual Property Right of any third party (the “Infringement Claim”) in the Territory.
