EXTENSION OF THE TRIAL

This Letter is made by and between The Shell Company of Thailand Ltd., a corporation duly organized and existing under the laws of England and having its office in Thailand at Shell House, No. 10 Soonthornkosa Road, Klongtoey, Bangkok 10110 ("Shell"); and CPF Trading Company Limited, a corporation duly incorporated under the laws of Thailand and having its principal office at No.1 C.P. Tower 2, 23rd Floor, Ratchadapisek Road, Dindaeng, Bangkok, 10400 ("CPFT")
Whereas Shell and CPFT are under discussion to convert the convenience stores and/or existing space (“Select Shop”) to CPFT’s convenience store branded “CP Food Market” where Shell and CPFT will jointly develop the convenience store located at the Sites (the “Project"). The Project including terms and conditions shall be mutually agreed between the parties upon satisfaction of project simulation to be conducted at the selective Sites (the “Trial”). The Parties therefore entered into Memorandum of Understanding dated September 7, 2012 (“MOU”) to govern the rights and obligations of the parties during the Trial.
Now the Parties, upon awareness of trial term expiry (1 year and 6 months), agreed to extend the Trial for another period of 6 month (i.e. till 31 Dec 2014) to allow both parties to consider more on way forwards of the Project. The operation during this extended period shall be in compliance with terms and conditions specified in the MOU.
