Service and Repair of Products
Distributor shall, at its expense, develop in conjunction with Company a written Minimum 24 month warranty in a form appoved by Company for each of the Products sold during the term of this Agreement and establish within the Territory an after-sales service department for which distributor shall have sole responsibility and which shall be service department for which Distributor shall have sole responsibity and which shall be capable during the term of this agreement and for the 15 Months after termination of this Agreement of competently servicing the Products in accordance with the standards established by company and any requirements established by law. Distributor shall be solely responsible for the service department's management and operations. Company shall provide Distributor with a service allowance of 1% of Net purchases of the Company's price for the Products to apply towards the cost of servicing the warranties with payment be made on a periodic basis, provided however, the Distributor is in good standing and its account is current. Company shall supply distributor with any necessary information which Company may determine is required to establish and maintain Distribitor's service department. Company may, at its option, furnish a technical consultant to instruct the Distributor's service department in the repair and servicing of the Products, if company determines that such instruction is necessary for Distributor to satisfy its repair obligations. Distributor shall use its best efforts to ensure that all Products sent to Distributor for service or repair are returned to such customers within 8 weeks of Distributor's receipt of the Products sent for repair or service.
