Article 4 Inventions
4.1 If the Receiving Party makes or acquires any inventions or any other intellectual property (hereinafter referred to as “Inventions”) based on Confidential Information, the Receiving Party shall promptly notify the Disclosing Party of such Inventions. The Parties agree to participate in good faith discussions with one another to determine ownership and other relevant matters pertaining to the intellectual property rights of these Inventions, prior to filing any patent applications, making any intellectual property registrations, or claiming ownership over any of the Inventions.
