3.30 The Concessionaire shall keep the MRTA informed of and shall offer to the MRTA as soon as they are issued all substantially revised or improved versions of the hardware and software incorporated in the M&E Systems and/or Civil Infrastructure which correct errors or imperfections in, or add to or enhance the functions of the M&E Systems and/or Civil Infrastructure. Such upgrades shall, at the option of the MRTA and at its convenience, be installed into the M&E Systems and/or Civil Infrastructure and thereupon be incorporated into the definition of the “M&E Systems” and/or “Civil Infrastructure” and shall be subject to the requirements of this Agreement as though they had originally been incorporated in the definition of the “M&E Systems” and/or “Civil Infrastructure” and the Services shall apply equally to all such revised or improved versions of the M&E Systems and/or Civil Infrastructure or any part or parts of the M&E Systems and/or Civil Infrastructure as though they had originally been installed under the terms of the Agreement and/or civil works contracts.
If the MRTA selects not to upgrade or update the M&E Systems and/or Civil Infrastructure by installing an upgrade offered by the Concessionaire, the Concessionaire shall comply with the terms of this Agreement and shall perform the Services and shall maintain the M&E Systems and/or Civil Infrastructure at the level of issue of the M&E Systems and/or Civil Infrastructure existing prior to the upgrade. The MRTA may require the Concessionaire to upgrade the hardware or software incorporated in the M&E Systems and/or Civil Infrastructure and the Concessionaire shall comply with these requirements.
All software developed by the Concessionaire and relevant software licenses during the concession period for Purple line shall be transferred to MRTA without any additional costs to MRTA when the Concession Agreement is terminated during the concession period or expire at the end of the concession period.
3.31 The Concessionaire shall be responsible for the cost of all supplies of electricity, water and all other utility supplies consumed by it within the confines of the workshop and depot areas assigned to its control for the purpose of carrying maintenance services.
3.32 The Concessionaire shall develop a System Operating Plan (SOP) which shall set out the core principles and controls that will permit the undertaking of safe, secure, reliable and frequent train (and other rail vehicle) service on the Railway System.
3.33 The Concessionaire shall develop a Operations Safety Plan setting down the safety targets and safety management procedures that shall be applied to the operation of the Railway System and submit to the MRTA for approval.
3.34 The System Operating Plan and Operations Safety Plan shall be based on the proven practices of the Concessionaire or an internationally recognized railway operator and shall be submitted to the MRTA’s Representative for review and approval during the Preliminary Design Submission.
3.35 The Operating Services Plan and Operations Safety Plan containing the latest updates and amendments issued up to and including the day of expiry or termination.
3.36 The Concessionaire shall prepare an operating procedures manual to accommodate the particular needs of the fare collection system, which may involve the implementation of a means of emptying cashboxes and of reporting revenue and sales, including procedures for refunds and charge-backs. The operating procedures shall conform to Business Rules provided by the MRTA.
3.37 The Concessionaire shall provide assistance and interface coordination for Blue Line operator to build and operate interchange facilities connecting to the Tao Poon Station.
3.38 For the interchange station sharing concourse and ticketing facilities with other new mass transit line(s) in future, the Concessionaire shall negotiate with the new mass transit line operator(s) on the concourse operation and management in order to ensure the interchange station concourse is under one management team. The additional unit costs for the operation and management shall not exceed the average unit costs of the station O&M.
