5.2 Registration
(a) the Company shall immediately on or after the Closing Date (as defined in Clause 8.2) file an application with the MOC for registration of the increase of paid-up share capital to reflect the issue of the Offered Shares subscribed on the Closing Date;
(b) as soon as practicable and no later than 45 days (with respect to the SEC report) and 14 days (with respect to the SET report) after the end of the Offering Period, the Company shall report the result of the Offering to the SEC and the SET;
(c) as soon as practicable, if and to the extent that the Lead Underwriter acting on behalf of the Underwriters shall have notified the Company in writing the details of the subscribers of the Offered Shares required for such exercise, the Company shall cause to be entered on its share register as shareholders the names of the persons who shall have subscribed for the Offered Shares or, in the case of shares to be held in scripless form, the name of TSD for depositors and shall cause the number of shares allotted to each allottee of Offered Shares which are to be entered into the scripless system of the TSD to be credited to the account of the broker, sub-broker or custodian, being a TSD member, nominated by such allottee for such purpose; and
(d) provided that, if for any reason the Company fails to obtain relevant approval from the MOC with respect to the increase in the Company’s capital within 14 days after the end of the Offering Period for the Offered Shares, the Lead Underwriter acting on behalf of the Underwriters may require the Company, and if so required the Company hereby undertakes, forthwith to transfer to the Underwriters (to an account or accounts to be specified by the Lead Underwriter), without any deduction and together with all interest accrued thereon, the Subscription Amount (as defined in Clause 8.2) representing payment for the Offered Shares received by it.
