1. SHAREHOLDERS AND ANNUAL GENERAL MEETING
The general meeting is the company’s highest decision-making body
and is the forum in which shareholders exercise their right to decide
on the company’s aff airs.
The ordinary general meeting (the annual general meeting) is
convened once a year in order to carry out tasks such as adopting the
annual accounts and consolidated accounts, discharging the members
of the board of directors and the chief executive offi cer from liability
and deciding how the profi t for the past fi nancial year is to be allocated.
The annual general meeting also decides on guidelines for remuneration
to senior executives. In addition, the meeting decides on any proposed amendments to the articles of association and elects the board
of directors and, when necessary, auditors for the forthcoming period
of offi ce. Extraordinary general meetings can be held where there is
a particular need to do so.
