6.7 Entire Agreement.
(a) This Agreement and the exhibits hereto constitute the full and entire understanding and agreement between the parties with regard to the subjects hereof. No party shall be liable or bound to any other party in any manner with regard to the subjects hereof or thereof by any warranties, representations or covenants except as specifically set forth herein.
(b) The Prior Agreement is hereby amended in its entirety and restated herein. Such amendment and restatement is effective upon the execution of this Agreement by the Company and the Initial Common Holders. Upon such execution, all provisions of, rights granted and covenants made in the Prior Agreement are hereby superseded in their entirety and shall have no further force or effect. The rights and covenants contained in this Agreement set forth the sole and entire agreement among the Company and the Initial Common Holders on the subject matter hereof and supersede any and all rights granted and covenants made under the Prior Agreement.
