(NN) “Subsupplier” means a suborder manufacturer or any other Person who is engaged by Supplier in connection with this Contract.
(OO) “Supplier” means the Person named as Supplier in the introductory paragraph of this Contract (and who may be alternatively named “Seller”, “Fabricator, “Vendor” or a similar term).
(PP) “Supplier Group” means Supplier, Supplier’s Affiliates, Subsuppliers, and the shareholders, directors, officers, employees and other personnel of all of them, and any Person acting on behalf of any of them in connection with any subject matter of this Contract.
(QQ) “Supplier Background Technology” means technical information and know-how, including any invention, improvement or discovery, whether or not patentable, that is conceived, owned or controlled by Supplier prior to the Effective Date, or that is generated or created independently of this Contract during or after the Term of this Contract, including any patent rights which claim such technical information, know-how or both.
(RR) “Term” means the period commencing on the Effective Date and ending on the Expiration Date.
(SS) “Total Purchase Price” for any purchase of Products shall constitute the full compensation for the provision of Products and includes all shipping, packaging, transportation, handling, special fees or charges (including those associated with imports and exports), unless indicated to the contrary in this Contract. This price is firm and fixed throughout the duration of a Purchase Order and is set out in the applicable Purchase Order.
(TT) “Transaction Taxes” mean any value added tax, goods and services tax, sales tax, other excise taxes and/or other similar taxes arising out of this Contract. Transaction Taxes are not included in the Total Purchase Price for Products or compensation for Off-Site Services.
(UU) “Warranty Period” means the following:
(1) For a particular Product, the later of either of the following:
(a) Eighteen months following the date that the Product is actually delivered. If delivery occurs on more than one day, then eighteen months following the date when delivery is completed.
(b) Twelve months following the date on which the Product is installed and placed into first operational use and (if applicable) after completion of all testing.
(2) For Off-Site Services, the period of twelve months beginning on the later to occur of the day Supplier completes all the Off-Site Services required to be performed under a Purchase Order or the effective date of termination of this Contract or the applicable Purchase Order.
1.2 Interpretation. Unless the context expressly requires an interpretation to the contrary, all of the following apply to the interpretation of this Contract:
