Article 10 – Tooling
1) If new Tooling is required for the Customized Products, the Seller shall provide information related to Tooling, including but not limited to Tooling cost to be borne by the Purchaser, Tooling lead-time and expected life of Tooling to the Purchaser, either by including such information as a part of the quotation stated in Article 9(2) or by submitting a separate quotation.
2) The Seller shall start the arrangement of Tooling after obtaining a written consent of the Purchaser on the concept of Tooling described in quotation of Seller.
3) Upon completion of Tooling arrangement, the Seller shall submit sample pieces from the trial batch using the new Tooling and/or Products using sample pieces from the trial batch (collectively “Trial Batch Sample”) to the Purchaser for approval.
4) The Seller shall not start production of Products using new Tooling without first obtaining approval from the Purchaser on Trial Batch Sample.
5) The Seller shall bear the cost to maintain Tooling during the expected life of Tooling.
6) When the total number of shots made by the Tooling approaches its expected life, the Seller shall send new quotations of Tooling to the Purchaser, allowing sufficient time to rearrange Tooling including the time it takes to prepare enough parts using the old Tooling while new Tooling is arranged. The provisions of Article 10(1) to 10(5) shall apply while making the arrangement of the new Tooling.
7) In the event that Purchaser wishes to change the Specification of the Products which affects the Tooling, the Purchaser shall bear any cost to modify the Tooling in accordance with the provisions of Article 3.
8) The Seller shall use Tooling paid fully by the Purchaser only for the Purchaser and solely for the Products for the Purchaser.
9) After Tooling reaches its expected life or upon agreement between the Parties, the Seller shall scrap Tooling and submit proof of such scrapping in writing to the Purchaser
