12. CONFIDENTIALITY
The Employee understands and agrees that the Confidentiality is the necessary part of this Employment Agreement therefore during the Employment Agreement and at any time after its termination the Employee shall not:
• Disclose Confidential Information to any person without the express written authorization of the Employer;
• Use Confidential Information for any purpose other than the business of the Employer;
• Use Confidential Information except to the extent necessary or appropriate for the performance of his or her duties with the Employer; and
• Allow Confidential Information to be disclosed by any other person.
The information is included the Employee’s personal data (e.g. wage rate). Such information that comes into the Employee’s knowledge from working for the company, the Employee must not spread or disclose to any other third party or individual but must keep it confidential onwards even at the end of the employment contract or after termination of the employment.
In the event of a breach of any provisions of item 12, shall be deem that the Employee violate the working condition and the Employer in accordance with Employment Agreement shall have the rights to Terminate the Agreement for cause as specified in item 10.2.
13. GOVERNING LAW
This Agreement shall be governed and interpreted in every particular under laws of Thailand.
14. SEVERABILITY
Any provision in this Agreement which is or become void, invalid, illegal or unenforceable shall be ineffective only to the extent of such void, invalid, illegal or unenforceable provision, without invalidating the remaining provisions and without affecting the validity and enforceability of such provisions in any other jurisdiction.
IN WITNESS WHEREOF, this Agreement is made duplicate, each with equal tenor and effect. The Employer and the Employee have read and understood the terms and conditions hereof and executed this Agreement in the presence of witnesses on the day, month and year first written above. Each retains one copy of this agreement.
