A. Background of the Project

B. Nam Lik Keng Luang Hydro Power Company Limited
a) The name of the owner company of Nam Lik Keng Luang Hydro Power Project is “Nam Lik Keng Luang Hydro Power Company Limited” (NKPC).
b) The shareholding of NKPC is as follows:

C. The Feasibility Study and Additional Feasibility Study of the Project
a) The Feasibility Study
DMD has signed with the Department of Planning and Investment of Vientiane Province in December 2012 the MOU for development of Nam Lik Keng Luang Hydro Power Project. The period for feasibility study is 18 months. DMD invited Team Lao from Thailand to undertake the feasibility study of Nam Lik Keng Luang Hydro Power Project, and Team Lao completed the Feasibility Study Report at the end of 2014.
b) Additional Feasibility Study
The Additional Feasibility Study Report was carried out by GXWEP and submitted to EDL. The Additional Feasibility Study Report was supplemented based on and with data from the Feasibility Study Report by Team Lao.
The Additional Feasibility Study Report was approved by the Department of Energy and Mines of Vientiane Province on Oct. 5, 2015.

D. The Transfer of Development Right of the Project
On Aug. 3, 2015, the Department of Energy and Mines Vientiane Province acknowledged and certified that the shareholders of Nam Lik Keng Luang Hydro Power Project to be EDL, Hua Fei and DMD.

E. EPC of the Project
GXWEP submitted the BOQ of the project to EDL in June 2015;
The first meeting for negotiation of EPC contract was held on Oct. 29 & 30. GXWEP presented the draft of EPC contract.
On Jan. 5, 2016, GXWEP submitted the adjusted BOQ modified based on the first meeting of EPC negotiation to increase quantity for main transformers, etc.

F. The Shareholder Agreement and the Article of Association
Hua Fei completed the draft of the Shareholder Agreement and the Article of Association.
The Shareholder Agreement and the Article of Association were signed initially in Sept. 2015.
In Nev. 2015, EDL submitted the Shareholder Agreement and the Article of Association to the Ministry of Finance of Laos.
On Dec. 17, 2015, the Ministry of Finance called EDL, Hua Fei and DMD for a meeting for review of the Shareholder Agreement and the Article of Association. The profile of Hua Fei and the situation of Nam Lik Keng Luang Hydro Power Project were present to the meeting. The chairwoman states that the EDL belongs to the Government and will not guarantee for the loan, however it is possible to present the PPA of the project for guarantee purpose.

G. Registration of NKPC
a) The registration forms
According to the meeting among EDL, HFE and DMD on Aug. 26, 2015, EDL and DMD will be responsible for the registration of NKPC.
The registration forms have been filled by Mr Khamsavinh (Power Development Department of EDL) and check by Mr Chittasone (Legal and Contract Department of EDL). And it is ready to be presented for finalizing.
b) Office in Vientiane
EDL has provided an office (about 20 m2) free of charge to preparation team of NKPC.
c) Registered Office Address
On Dec. 22 & 23, 2015, we searched in Kasi and Vang Viang and inspected several house. We prefer to set up our office in Kasi for the convenience of site management. By comparis
