Any trade dispute arising from errors caused by DKSH shall be under the responsibility of DKSH. Any trade dispute arising from errors caused by BDF shall be under the responsibility of BDF.
Any dispute for all bad debts resulting from the sales or the products, including provision for doubtful accounts required by generally accept accounting principles, or all losses incurred from embezzlement and fraudulent acts of the related sales person, shall be mutually discussed and agreed between parties, and shall be settled in the timeline fixed my both parties. If such dispute cannot be resolved within the timeline, any dispute or differences shall be settled in accordance with Section 4.4 of this agreement.
DKSH shall not deduct any amount payable to BDF under this agreement in order to compensate such trade dispute and bad debts referred to in the above paragraph and the parties agreed that BDF shall not be responsible to reimburse DKSH for the same, unless the dispute can be mutually agreed or having the final arbitration award pursuant to Section 4.4, or having court order, if the award is appealed, that such circumstance did not caused by DKSH.
For the avoidance of doubt, it shall be incumbent upon DKSH to systematically and diligently progress the collection of bad debts and report to BDF the progress and recommended future courses of actions in the Monthly Business Review.
