4.1 Quantum Healthcare shall consid

4.1 Quantum Healthcare shall consider Samsung as preferred Partner (priority consideration for project ) and mainly supply Samsung Ultrasound Products
4.2 Quantum Healthcare should provide professional technical sales, applicators and service to customer
4.3 Any advertisement made by Quantum Healthcare should be authorized by TSE
4.4 TSE will full support for major events from Associations, for local event based on Thailand , Quantum Healthcare will take responsibility such as product presentation, lunch symposium, work shop, exhibition and event, etc. Decision to support in any above events will be imposed and made by TSE.
4.5 Quantum Healthcare is eligible to purchase Demonstration unit at the limited quantity of each model as below:
Premium: Price above 90,000 USD ( 3M Baht) including option. 3 units
Mid-High: Price 30,303-87,878 USD(1-2.9 M Bht) including option 4 unit
Low End: Price below 30303 USD(1 M Bht) including option 5 unit
TSE provide 12 % discount for all demonstration unit, if the demonstration unit is out of function and needs to be replaced, dealer is able to order at 12% discount rate with the broken unit report.
5. Technical Support to Quantum Healthcare offered by TSE
a) Product Supports
- Priority supply for Samsung Ultrasound products
- Information of new technology of Samsung Ultrasound products
b) Training:
- Provide internal for Sales, Applicator and service by TSE staff as appropriately requested
- Provide applicator service to customer when Quantum HealthCare need
6. Confidentiality
The parties agree that this MOU and other information related shall be treated as strictly confidential by both parties and shall not disclose to any other persons without the prior written consent of other party.

7. Notice
Any notice or other communication to be notified by a party to this MOU to the other party shall be in writhing and shall be delivered by hand or sent by registered mail or courier of facsimile transmission ( to the addresses or facsimile numbers set out below and shall be deemed to have been delivered).
In Witness Whereof, the authorized representatives of both parties have signed this MOU and affixed their company seal on the date mentioned above.

4.4 TSE จะสนับสนุนเต็มรูปแบบสำหรับเหตุการณ์สำคัญจากสมาคมสำหรับเหตุการณ์ท้องถิ่นยึดไทยควอนตัม แพทย์จะรับผิดชอบ เช่น การนำเสนอ ผลิตภัณฑ์ งานกลางวัน ร้าน งาน นิทรรศการและกิจกรรม ฯลฯ เพื่อสนับสนุนการตัดสินใจในเหตุการณ์ข้างต้นใด ๆ จะบังคับให้ โดย TSE .
4.5 ควอนตัมสุขภาพเป็นสิทธิที่จะซื้อหน่วยสาธิตในปริมาณที่ จำกัด ของแต่ละรุ่นดังนี้
พรีเมี่ยม ราคาเกิน 90000 บาท ( 3 บาท ) รวมถึงตัวเลือก หน่วยที่ 3
สูงกลาง : ราคา 30303-87878 USD ( 1-2.9 M บาท ) รวม 4 หน่วย
ต่ำสิ้นสุด : ราคาด้านล่าง 30303 USD ( 1 M บาท ) รวมทั้ง TSE หน่วย
ตัวเลือก 5 ให้ส่วนลด 12% สำหรับทุกหน่วยสาธิต ถ้าหน่วยสาธิตของฟังก์ชัน และต้องถูกแทนที่ , ดีลเลอร์สามารถ สั่งซื้อสินค้าที่อัตราคิดลดร้อยละ 12 มีรายงานหน่วยเสีย .
5การสนับสนุนทางเทคนิคให้กับควอนตัมสุขภาพเสนอ โดย TSE
) ผลิตภัณฑ์สนับสนุน
- ความสำคัญจัดหาสำหรับผลิตภัณฑ์ซัมซุง อัลตราซาวน์
- ข้อมูลเทคโนโลยีใหม่ของซัมซุงอัลตร้าซาวนด์ผลิตภัณฑ์
b ) อบรม :
- ให้ภายใน ขาย และบริการ โดยเจ้าหน้าที่ใช้ TSE ตามที่ร้องขออย่างเหมาะสม
- ให้บริการแก่ลูกค้าเมื่อใช้ควอนตัมสุขภาพต้องการ
6 . ความลับ
ฝ่ายที่เห็นด้วยว่า บันทึกความเข้าใจและข้อมูลอื่น ๆที่เกี่ยวข้องจะถือว่าเป็นความลับอย่างเคร่งครัดโดยทั้งสองฝ่ายและจะไม่เปิดเผยต่อบุคคลอื่นใด โดยไม่ได้รับความยินยอมเป็นลายลักษณ์อักษรจากพรรคอื่น ๆ .

7 สังเกตเห็น
ประกาศ หรือการสื่อสารอื่น ๆที่จะได้รับแจ้งจากพรรคเพื่อไทยไปพรรคอื่นจะเขียนและจะถูกส่งด้วยมือ หรือส่งทางไปรษณีย์ลงทะเบียน หรือ ส่งของ ส่งแฟกซ์ ( ให้ที่อยู่หรือโทรสารหมายเลขไว้ด้านล่าง และให้ถือว่าได้มีการส่งมอบ ) .
วจน ,ตัวแทนที่ได้รับอนุญาตของทั้งสองฝ่ายได้ลงนามในบันทึกความเข้าใจนี้ และติดผนึก บริษัท ของพวกเขาในวันดังกล่าวข้างต้น
