Exceptions to the Services
The fee under Section 1. above shall not cover damage or defect of the Products as a result of the following:
(1) Misuse of the Products;
(2) An intentional or negligent act of the Customer, its agents, employee or servant;
(3) Failure of the Customer to properly maintain the Products in accordance with its instruction manual;
(4) The Customer, its agents, employees or servants or any unauthorized persons repair, disassemble or alter the Products or use other accessories which are not compatible with the Products; or
(5) An accident, natural disaster or other force majeure beyond control of the Contractor.

Accessories or components which the Customer shall be responsible for the expenses:
(1) Ribbons used with the printer;
(2) Printing paper;
(3) Magnetic disc or tape for installing the data;
(4) Printing head of a printer of printing head absorber or the rotating knob;
(5) Ink powder used with laser printing; and
(6) Battery

7. The Customer shall notify the Contractor the name of the person to be contacted, location of the Products as well as to provide the necessary facilities so that the services can be performed efficiently.

8. The Contractor shall not be responsible for delay in the service as a result of any accident, natural disaster or any other force majeure, which is beyond the control of the Contractor.

9. If the Customer wishes to have any service not covered by this Agreement, the Customer and the Contractor shall have to mutually agree on such service on a case by case basis so that the specific service can be given.

10. Personal Right
Right to receive services pursuant to this Agreement is personal to the Customer. The Customer has no right to assign this Agreement to any other person except to its subsidiaries and affiliated companies.

11. Ownership
The Customer agrees that the accessories and components of any defective parts of the Products which have been disassembled and replaced by the Contractor shall become the property of the Contractor without any consideration to be payable to the Customer.

12. Alteration or Modification of the Agreement
Any agreement, alteration, addition or modification of this Agreement shall be made only in writing and signed by both parties.

13. In case any party hereto is in breach of any provision herein, the other party shall have right to terminate this agreement without any notice and refund any outstanding maintenance fee.

14. Confidentiality
The Contractor agrees to keep secret and confidential all information (without regard to the medium on which such information may be recorded) concerning or relating to the property, business and affairs of the Customer, its parents, subsidiaries, affiliated companies or any of their customers or clients which is disclosed by the Customer or which the Contractor becomes aware, whether in writing, verbally or by any other means and whether directly or indirectly as a result of this Agreement or in the performance of its obligations hereunder. The Contractor will fully comply with the security directions of the Customer and will protect all data against any and all unauthorized access by third parties.

15. Indemnity
The Contractor agrees to indemnify the Customer against any direct losses, damages, expenses and legal costs (on a solicitor and own client basis) and whether incurred by and/or awarded against the Customer that the Customer may sustain or incur as a result of any breach of the term of this Agreement, fraud, gross negligence or willful act or omission by the Contractor, its agents or employees. For avoidance of doubt, the Contractor shall not be liable for any consequential or indirect damages.

This Agreement is made in two identical copies, each party has read and understood the contents hereof and therefore have signed their names in the presence of witnesses herein below.
