This is to respond to your question on the change of the shareholder's registered office (in the case of MHCB) in the record of the Company as follows:
1. In changing the registered office, if its new location is in the same province, then, it is only to prepare an application form to register the change of the registered office.
If the new location is in different province, then, it is required to convene the shareholders' meeting to adopt a special resolution to amend the head office in the Memorandum of Association, then, prepare the application forms to register the special resolution to amend the Memorandum of Association and the change of the registered office. The applications shall be filed with the Department of Business Development.
2. It is the duty of MHCB to notify the Company regarding the change of the registered office, by providing its affidavit to show its new registered office.
3. Upon receiving the notification from MHCB, the Company has to affect the change of the registered office of MHCB in the following records:
(1) The share register book.
(2) The list of shareholders (Bor Or Jor 5) is to be prepared and filed with the Department of Business Development. Upon filing, a certified copy shall be obtained.
(3) If MHCB would like to change its registered office in the share certificate, it is eligible to issue the new one in replacing the old one.
