1. Terms and Conditions
1.1 In this Agreement, unless the context otherwise requires “Confidential Information” means:
1.1.1 All information including but not limited to proprietary intellectual property, proprietary computer software, computational methodologies and decisional analysis, facilities, costs, operations and maintenance procedures, strategic, tactical and negotiating information, information supporting litigation or administrative proceedings, client lists and databases and other financial, technical or commercial information relating to TMLTH or its affiliates, which TMLTH or any of their advisors, agents, officers or employees disclose to the Recipient and/or the Representatives specified in clause 2.6.1 (a) directly or indirectly, whether by way of oral explanation or by making available files, company records, contracts, books of account or any other media;
1.1.2 The existence of the Purpose and the fact that the Recipient will receive or has received Confidential Information or that TMLTH or its affiliates has disclosed or will disclose Confidential Information; or
1.1.3 Any copies of the information described above or of any document derived from Confidential Information.
1.2 Confidential Information does not include any information which clearly;
1.2.1 at the time of disclosure is in the public domain, lawfully and not as a result of breach by the Recipient of any confidentiality obligation similar to or forming part of this Agreement;
1.2.2 was available to and legally and properly obtained by the Recipient, in a manner not involving any breach of confidentiality under this or any other Agreement, from a source other than the TMLTH or its affiliates or their advisors, agents, officers or employees;
1.2.3 has been independently acquired or developed by the Recipient or otherwise lawfully obtained by it, without violation of either the letter or the spirit of this Agreement and without the use of any Confidential Information;
1.2.4 is disclosed by TMLTH or its affiliates to a third party without a duty of confidentiality on the third party; or
1.2.5 is disclosed by the Recipient with TMLTH’s prior written approval.
2. The Recipient’s Covenants
The Recipient irrevocably covenants as follows:
2.1 Confidential Information:
The Recipient shall at all times:
2.1.1 treat all Confidential Information as such and undertakes that it will not, except as provided for in Clause 2.6, use or disclose any of it to any person whatsoever, without the prior written consent of TMLTH.
2.1.2 maintain the confidentiality of the Confidential Information of TMLTH with at least the same degree of care that it uses to protect its own confidential and proprietary information, but no less than a reasonable degree of care under the circumstances.
2.1.3 comply strictly with any legislation and regulations specifically directed to the treatment of Confidential Information including without limitation, any data protection or privacy laws.
2.2 Confidential Information Remains Property of TMLTH:
All Confidential Information shall be and remain at all times the property of TMLTH and/or its affiliates.
2.3 No Copies of Confidential Information:
The Recipient shall not, copy or store any Confidential Information without the prior written consent of TMLTH other than as may be necessary for the Purpose;
2.4 Similar Covenant from Third Party:
Should the Recipient require that any Confidential Information be disclosed to any other person, otherwise than as provided in Clause 2.6, the Recipient shall, prior to such disclosure, obtain the written consent of TMLTH, which consent may be made conditional upon the execution by the third party of a confidentiality agreement in the same or similar terms to this Agreement or the adoption by the third party of the covenants in this Agreement, by countersigning it in agreement to be bound by them;
2.5 Return or destroy of Confidential Information:
The Recipient shall, upon demand by TMLTH and at TMLTH’s option, either return to TMLTH or destroy all the Confidential Information, including any copies, in the possession or control of the Recipient, advisors, agent including staff, employee, third person or any other person whether such disclosure has been made in accordance with this Agreement or not. The Recipient shall, at the request of TMLTH, provide the letter with a certificate from an authorized person of the Recipient or any of such person to whom Confidential Information has been disclosed, attesting to this return or destruction.
2.6 Use of Confidential Information:
The Recipient further covenants, irrevocably, that at all times it shall:
2.6.1 not disclose or distribute or permit to be communicated, verbally or in writing, directly or indirectly, the Confidential Information or any copies of it to any third party at any time except:
