21.1 The CONTRACTOR may, at any time, suspend all or part of the SUBCONTRACT WORK for any reason
whatsoever by giving notice in writing to the SUBCONTRACTOR specifying the part of the SUBCONTRACT WORK
to be suspended and the effective date of suspension. The SUBCONTRACTOR shall cease the work on the
suspended part of the SUBCONTRACT WORK on the effective date of suspension. Suspension shall not otherwise
limit or waive the SUBCONTRACTOR's responsibilities under the SUBCONTRACT.
21.2 If any part of the SUBCONTRACT WORK is so suspended, the CONTRACTOR REPRESENTATIVE shall
authorise a CHANGE ORDER pursuant to Article 7 making any required adjustments to the COMPLETION DATE
and the SUBCONTRACT PRICE. The SUBCONTRACT PRICE shall be adjusted only for additional costs to the
SUBCONTRACTOR resulting directly from the suspension. The SUBCONTRACTOR shall provide all audit access
required by CONTRACTOR to verify such additional direct costs, which shall expressly exclude loss of anticipated
profits.
21.3 The CONTRACTOR may at any time authorise resumption of all or any part of the suspended part of the
SUBCONTRACT WORK by giving notice to the SUBCONTRACTOR specifying the part of the SUBCONTRACT
WORK to be resumed and the effective date of resumption. Suspended work shall be promptly resumed by the
SUBCONTRACTOR after receipt of such notice.
21.4 CONTRACTOR may suspend the Subcontract Works, or any part thereof, by a written Notice stating
Subcontractor’s default of the said works under the Subcontract, whether such default is identified by Contractor/
Client.
21.5 Such notice as aforesaid and the remedying thereof shall be complied by Subcontractor within seven (7) days
or any other period, which may be mentioned therein giving due consideration to the default.
21.6 If Subcontractor continues to be in default under the Subcontract, even after a notice of 7 (seven) days has
been given, and/or giving due consideration to the magnitude of default has not provided a satisfactory plan to clear
such default, Contractor may terminate this Subcontract, but is not bound, after giving a further written notice of three
3 days.
