INVESTMENT GRADE AUDIT AGREEMENT
BETWEEN
PANEL PLUS CO., LTD.
(Hat Yai Branch)
AND Schneider (Thailand) Limited
The purpose of this Investment Grade Audit Agreement (IGA) is to confirm the intent of Schneider
(Thailand) Limited (henceforth referred to as “The ESCO”) and PANEL PLUS CO., LTD. (henceforth known
as the “Customer”) to develop a Performance Contracting Project at PANEL PLUS CO., LTD., Songkhla in
Thailand The IGA is a tangible milestone in the delivery process and reaffirms commitment from the
Customer and The ESCO toward the Performance Contracting Process. This agreement will provide the basis
of the scope of the IGA, the obligations of parties, the financial metrics to be met, and the intended
outcomes and timeline.
1. Scope of Work
It is the Parties’ mutual understanding that this Investment Grade Audit will incorporate the following:
The ESCO agrees to undertake a detailed evaluation study of the site to determine the energy consumption
and operational characteristics of the facilities by using the energy model and to identify the energy
conservation measures, procedures, and other services that could be implemented in order to reduce the
Customer's energy consumption and operating costs on the facilities.
The proposed Energy Conservation Measures (ECMs) and Services would be intended to fund themselves
through energy and operational savings achieved over a period of 5 years or less. The performance of the
ECMs & Services (the underlying energy and operational savings) will be guaranteed by The ESCO.
Customer agrees to provide its complete cooperation in the conduct and completion of the study. The ESCO
will provide to the Customer the following information:
a.) A list of machine and/or system costs that The ESCO proposes to provide or install including but not
limited to:
i. Motor in processes/Machines
ii. Pump, Fan and Blower
iii. Air conditioning system
iv. Lighting system
In addition The ESCO will research the following opportunities:
v. Energy Management System
Firm Costs and Fees
The ESCO shall provide detailed estimates of all costs and fees associated with the installation and
implementation of the ECMs including: (please see Table 1 and Table 2)
i. engineering/design costs for individual ECMs
ii. materials costs for individual ECMs
iii. labor costs for individual ECMs
iv. contractor/vendor estimates for individual ECM hard and soft costs
v. contingency costs for individual ECM hard cost
vi. construction management fees for the project
vii. commissioning costs for individual ECMs
viii. retro-commissioning cost for existing systems that will not be replaced
ix. initial training costs (and ongoing training, if applicable)
