CONFIDENTIALITY AGREEMENT


THIS AGREEMENT (the "Agreement") is made on [Ÿ].

BETWEEN:

(1)​[Ÿ] (hereinafter referred to as the “Recipient”); and

(2)​Dawei SEZ Development Co., Ltd., a limited company incorporated in Thailand and having its registered address at 123, Sun Tower A Building, 31st Floor, Vibhavadi Rangsit Road, Chompol Sub-district, Chatuchak District, Bangkok (hereinafter referred to as the “Company”).

WHEREAS the Company will provide the Recipient with the Confidential Information (as defined below) in connection with or for the purpose of [specify relevant transaction] (hereinafter referred to as the “Transaction”). As a condition to Recipient’s being furnished the Confidential Information, the Recipient agrees to treat any Confidential Information in accordance with the provisions of this Agreement.


NOW THEREFORE, it is agreed as follows:


1.​CONFIDENTIAL INFORMATION

1.1​The term “Confidential Information” means all data and information about the business, financial, technical, commercial, economic, marketing, planning of the Company and all other Company's information (whether in writing, verbally or by any other means and whether directly or indirectly) which supplied or disclosed by the Company, its officers, advisors and/or representatives to the Recipient (whether before or after the date of this Agreement), including, without limitation, any information relating to the Company’s analyses, studies, developments, products, market opportunities, business affairs or other documents or information, which contain or are generated or developed from such Confidential Information.

1.2 ​The Confidential Information does not include information which:

​(i)​was or becomes generally available to the public, other than as a result of a disclosure by the Recipient or the Recipient’s Related Persons (as defined below); or

(ii)​was or becomes available to the Recipient on a non-confidential basis prior to receipt from the Company or the Company’s Related Persons.


2.​NONDISCLOSURE

The Recipient agrees (i) to hold the Confidential Information in strict confidence, (ii) not to use any Confidential Information without the Company’s prior written consent and for any purpose other than as contemplated herein and in connection with the Recipient’s consideration of the Transaction; (iii) not to copy and/or reproduce any Confidential Information other than as permitted in writing by the Company; and (iv) not to disclose directly or indirectly to any person except to the extent that:

(a)​such disclosure has been consented to in writing by the Company;

(b)​such disclosure is required by law, regulation, supervisory authority or other applicable judicial or governmental order, provided that as soon as practically possible and to the extent permitted by laws, the Recipient shall provide the Company with written notice of such request or requirement so that the Company may seek an appropriate protective order or remedy; or

(c)​such disclosure is the disclosure to the Recipient’s Related Persons who need to know such Confidential Information in connection with and for the purpose of the Recipient’s consideration of the Transaction, provided that the Recipient shall direct such Related Persons to observe the terms and conditions of this Agreement.

The Recipient agrees that it will be responsible for the breach of the provisions of this Agreement by any of its Related Persons. The undertakings given by the Recipient in this Agreement are given by the Recipient on its own behalf and as agent for each of the Recipient’s Related Persons with their full knowledge and authority.
