GENERAL
All references to time are in fiscal years (1st October – 30 September).
This agreement is applicable to all the products delivered by supplier to Johnson Controls, and
consequences due to those components included on modules installed in customer vehicles which are
affected by these defective components. It governs warranty, ppm and reliability claims between
Johnson Controls and the suppliers.
The suppliers agrees to read, understand and implement all the terms and conditions as present in the
supplier standards manual available on the Johnson web site:
https://portal.covisint.com/portal/public/_l:en/tp/jci/applications.psml as a prerequisite to engage in any
business activity with Johnson Controls. The supplier is required to send a confirmation by e-mail/letter ,
including a signed copy of the first page of the manual, to his quality representative, confirming that he
has read and implemented all terms and conditions, within 10 working days after having signed this
contract. Deviations, if any, should be accompanied with an action plan.
The supplier agrees to provide proof that his company will have and maintain English-speaking people
available for communication with Johnson Controls on technical and quality related issues. Nonavailability
of English-speaking staff will automatically disqualify the supplier from future business. If
current business is affected by this paragraph then the supplier has 30 working days to hire/train
English-speaking staff, which at the very minimum should be two persons per supplier.
The supplier agrees to provide all quality related documentation in English. Failure to follow this will
result in disqualification from future business. English is and will be treated as the official language for
all correspondence that is quality related. All internal documents can be in the local language however,
special requests from Johnson Controls for any of these documents should be provided in the English
language only.
The supreme aim of all activities involving quality assurance is customer satisfaction. For this reason all
supplies and services of the supplier must satisfy all agreed and statutory requirements to their fullest
extent. If this zero-defect strategy is to be pursued, strict quality planning in advance and effective serial
production surveillance are absolutely essential.
The Purchaser has an obligation to customers and users to warrant the quality of his products and
services as such quality is contractually agreed and is “reasonably expected”. Following this basic
principle, the supplier must also develop, produce and inspect all supplies and services (for the
Purchaser) in such a way that compliance with all required quality characteristics is ensured.
The supplier will have checked the specifications of the supplies to be delivered and the services to be
provided to make sure they are compatible with the corresponding production methods and the like (see
Section on ADVANCED PRODUCT QUALITY PLANNING).
The supplier is also obliged to notify the purchaser of all points which seem unclear to him or which
appear deficient or amendable. If it is possible to replace a system / method stipulated in the technical
documentation or a procedure stipulated by the purchaser with a more suitable, more economic, more
environmentally friendly and / or more effective implementation or procedure, then the purchaser can
expect to be given the corresponding suggestions.
The statutory requirements and threshold values are minimum requirements for all processes integrated
into the chain of production and also apply to all services to be provided. The supplier shall implement
changes as set forth in the mandatory applicable statutory provisions without special notification in this
respect being needed from the purchaser. Test results have to be made accessible to the purchaser.
