I want to review and reiterate that our working relationship with Green Earth Power (Thailand) Ltd. (“GEP”) is one of an independent contractor and that for the assignment pertaining to GEP’s development of the Minbu Solar Power Plant with cooperation from the Ministry of Electric Power, the required scope of work includes the following:
Assistance in the site selection process to ensure that the site meets GEP’s criteria that is suitable for the development of a solar power plant.
Processing the required documents as well as follow-up meetings with related government officials at the local, divisional and national level to process the successful site acquisition.
Conducting regular site visits to provide regular updates of the site acquisition process.
Administer any site works needed during the site acquisition process that includes any temporary fencing, temporary housing, etc. as well as overseeing any security personnel.
For the required scope of work, our compensation and approved expenses are limited to the following:
Upon successful site acquisition, a success fee in an amount that is to be determined, based on work performance.
Monthly advances for site-related and travel expenses to Minbu, Magway and Naypyidaw as needed and pre-approved by Aung Thiha.
Advances for any site-related work and improvements that is needed during the site acquisition process and to include any pass-through payments for the security personnel. For site-related work and improvements, Independent Contractor to provide any billings and invoices.
As an independent contractor our relationship with GEP consists as follows:
At all times we have the opportunity to accept or reject, at our sole discretion, any assignment offered to us by GEP.
GEP does not provide training and only works with consultants who already possess the requisite qualifications for any assignment.
We currently have no ownership interest in GEP.
We are not involved in any GEP firm management activities or the supervision of any AVA staff.
We are not required to devote full time to GEP assignments.
We are not authorized to act as an agent for GEP nor bind the firm in any manor without the express prior consent of GEP.
We do not receive any employee benefits and we are responsible for paying all taxes related to our income producing activities.
GEP does not provide office space or nor does it provide office equipment for our use.
Our relationship is subject to termination at any time by either party, subject to us completing any assignment that we have already accepted.
