(1) Contract Information does not include information that is any of the following:
(a) Supplier Background Technology.
(b) Available generally to the public, as evidenced by printed publication or similar proof, through no act or omission of Supplier Group.
(c) Independently made available to Supplier by a third party with a legal right to disclose that information without restriction.
(2) Detailed information shall not be excluded from the definition of Contract Information merely because it is embraced by more general information excluded under Sections 1.1(G)(1)(a), 1.1(G)(1)(b) or 1.1(G)(1)(c). Combinations of items shall not be so excluded unless the combination itself and its principle of operation fall within Sections 1.1(G)(1)(a), 1.1(G)(1)(b) or 1.1(G)(1)(c).
(H) “Country” means the country where the Products will be used and is set out in Exhibit A – Type of Products and Sample Purchase Order Form.
(I) “Currency” means the currency for payment to Supplier and is set out in Exhibit B – Purchase Price.
(J) “DAP” is an abbreviation for the term “Delivered at Place” and is set out in the applicable Purchase Order.
(K) “DAT” is an abbreviation for the term “Delivered at Terminal” and is set out in the applicable Purchase Order.
(L) “DDP” is an abbreviation for the term “Delivered Duty Paid” and is set out in the applicable Purchase Order.
(M) “Delivery Point” means the Product delivery location, the place where Supplier is expected to deliver the Products and is set out in the applicable Purchase Order.
(N) “Destination Point” means the location set out in the applicable Purchase Order where the Product will be transported to and used by Purchaser if such location is different than the Delivery Point.
(O) “Dispute” means any dispute or controversy arising out of this Contract or the delivery of Products, including a Claim under this Contract and any dispute or controversy regarding the existence, construction, validity, interpretation, enforceability, termination or breach of this Contract, whether based in contract, tort or in any other manner.
(P) “Expiration Date” means the date this Contract expires and is set out in Exhibit A – Type of Products and Sample Purchase Order Form.
