14. NOTICES
Unless otherwise specifically provided for in this Agreement, all notices, payments, demands or
other communications shall be in writing and shall be deemed to have been duly given and received (i)
upon personal delivery, or (ii) as of the 5
th
Business Day after mailing by registered or certified mail,
return receipt requested, postage prepaid, addressed as set forth above, or (iii) the immediately
succeeding Business Day after timely deposit with a reputable overnight courier with confirmation of
deliver, if available by the courier, or (iv) if sent by facsimile, upon confirmation if sent before 5:00 p.m.
on a Business Day or otherwise on the Business Day following confirmation of such facsimile. Any party
may from time to time, by written notice to the other, designate a different address, which shall be
substituted for the one set forth below. A Business Day is one that is recognized by the jurisdiction
where the business offices of Global are located.

15. WATCHLIST
Master Licensee states that neither it nor any of its Owners are on any Government or
International Watch List for terrorists or persons not allowed to enter a country or have been convicted
of any criminal offense classified as a felony.
Further, Master acknowledges that the business of a BrainFit™ Studio involves working with
children (some children as well as adults may have learning disabilities) who are susceptible to
inappropriate and illegal behavior and you agree to: (i) screen all members of your staff and your
Franchises, who might work with children, for prior acts and criminal records of abusing children and (ii)
will instruct and educate as part of the training of the Franchisee, how to carry out this screening, how
to monitor their employees to make sure these clients are not being treated in an abusive or illegal way
and to educate them on recognizing and reporting such behavior. You must investigate the methods
that are available in your jurisdiction, on how to discover any such prior acts, and incorporate them into
your procedures.
