If a Party believes that it is legally required to disclose any Confidential Information, then that Party (the “Initial Party”) will promptly notify the other Party whose confidential information is to be disclosed. Unless the other Party within ten (10) Business Days of receipt of such notice gives notice to the Initial Party that the other Party intends to seek a protective order or act in some other way to prevent disclosure of the information in question, the Initial Party may disclose the information without a violation of this Agreement. After giving the notice referred to in the preceding sentence, the other Party must act promptly to contest the obligation of disclosure, notify the Initial Party of its actions and give the Initial Party notice if it does not successfully contest the obligation of disclosure in time to permit the Initial Party to disclose the information without violation of laws or contempt of court or an administrative agency.
