2 Inspection of the Railway System and Equipment Maintained by the Concessionaire and Transfer of Technology
(a) Prior to the expiry of this Agreement or in the event of earlier termination of this Agreement, those parts of the Railway System covered by the scope of this Agreement together with the Spares and software to be handed over and all of the Maintenance Equipment, depot buildings, plant, equipment tools and test equipment in the care of the Concessionaire during the performance of the Services shall be jointly inspected by the MRTA and the Concessionaire to ascertain that in all respects they are in Good Working Order except for the Spares which shall be new and unused. Any item or items found not to be in Good Working Order during such inspection shall be remedied forthwith by the Concessionaire and then jointly re-inspected by the MRTA and the Concessionaire. Once all items have been inspected and found to be in Good Working Order, the MRTA shall provide to the Concessionaire written notice of acceptance of turnover of the Services, such written notice not to be unreasonably withheld.
(b) When the Agreement Period expires or the Agreement is terminated within the Agreement Period, the concessionaire shall transfer all the technology, software and management system which have been used for the routine operation and maintenance of Purple Line without additional costs to MRTA or the operator appointed by MRTA.
(c) All the software or technology developed in-house for the O&M shall be the property of MRTA, and the Concessionaire shall not charge MRTA or the operator appointed by MRTA for the use of the software and technology.
(d) The Concessionaire shall ensure MRTA or the operator appointed by MRTA to be the only legal party to continue using any licensed software, management system and technology for operation and maintenance of Purple Line after the expire of the Agreement Period or termination within the Agreement Period.
(e) The Concessionaire shall be responsible for the costs of routine license renewal for software and technology uses prior to the expiration or termination of the Agreement. MRTA or the operator appointed by MRTA shall be responsible for the costs of these license and technology renewal after the date of transfer.
