reputations of corporate directors, the directors justify decisions to limit the investigation of
allegations by ascribing low levels of credibility to the allegation. They propose that parties other than the audit committee should receive and evaluate the veracity of allegations received through whistle-blowing systems to avoid the threats to effective governance that result from directors’self-interests.
