7. The Recipient shall, upon the written request of the Discloser, return to the Disclosure all documents containing the Proprietary Information and destroy or remove all electronic documents or files containing Proprietary Information. Notwithstanding the foregoing, it is understood and agreed that Recipient may retain, for corporate governance purposes, a copy of any approval presentations made to Recipient's board of directors which contain Proprietary Information. Recipient or its Designated Representatives may retain one copy of the Proprietary Information to comply with the requirements of law or regulation or in accordance with any written document retention policy, provided that such Proprietary Information shall be retained in a segregated file and shall remain subject to this Agreement and this Agreement will not terminate for as long as such Proprietary Information is retained. Furthermore, the parties acknowledge that Recipient computer systems may automatically back-up Proprietary Information disclosed by us under this Agreement. To the extent that such computer back-up procedures create a copy of the Proprietary Information, Recipient may retain such copies in Recipient archival or back-up computer storage for the period Recipient normally archives back-up computer records, which copy shall be subject to this Agreement until the same are destroyed, and shall not be accessed by us during such period of archival or back-up storage, other than as required by this Agreement.
