RESPONSIBILITIES OF THE CLIENT:
2.1 It shall be the responsibility of the Client to represent ILSC accurately, honestly and in good faith and in a reputable and
ethical manner. The Client will comply with all applicable laws of the jurisdiction in which the Client operates.
2.2 The Client shall ensure that its marketing and promotional materials are updated to reflect current information provided by
ILSC on a regular basis.
2.3 The Client is responsible for the cost of its own marketing and promotional activities, with the exception of brochures and
other printed materials that may be provided by ILSC from time to time. All marketing materials produced by the Client that
incorporate logos, graphics printed textual information about or supplied by ILSC, must be approved by ILSC in writing before
publication. The Client further acknowledges that all logos, trademarks and images provided by ILSC remain the sole property of
ILSC.
2.4 The Client agrees to return all of ILSC’s materials and furthermore, the Client will stop using ILSC’s name, logo, promotional
materials and other proprietary information immediately upon termination of this agreement.
2.5 The Client agrees to actively, continuously, and honestly promote the Services and counsel prospective students to
participate in ILSC programs including all aspects of such programs (courses, accommodations etc.).
2.6 The Client shall advise prospective students about all aspects of ILSC’s policies and procedures, terms and conditions,
brochures, course descriptions and Retail Prices applicable in the Territory.
2.7 The Client shall keep ILSC properly advised and informed on a timely basis as to the general conditions that pertain to or
may affect prospective students in its Territory.
2.8 The Client may use the full application for Services including tuition, housing and other services from a prospective student
using ILSC’s Application Form and Retail Prices applicable in the Territory.
2.9 The Client agrees that it will not offer or sell Services at a price less than the published Retail or Promotional Prices for the
Territory, provided this provision is void where prohibited by applicable law.
