EMPLOYMENT CONTRACT
This Employment Contract (this "Contract") is made effective as of December 21, 2015, by and between Thai Harmony LLC of 102 W Third St. Suite 100, Winston Salem, North Carolina, 27101 and DD Puntasri of 1/6 Moo 3 T. Tonthongchai Muang, Lumphang, _________________, 50200.
A. Thai Harmony LLC is engaged in the business of Restaurant DD Puntasri will primarily perform the job duties at the following location: 102 W Third St. Suite 100, Winston Salem, North Carolina.
B. Thai Harmony LLC desires to have the services of DD Puntasri.
C. DD Puntasri is an at will employee of Thai Harmony LLC. Either party is able to terminate the employment agreement at any time.
Therefore, the parties agree as follows:
1. EMPLOYMENT. Thai Harmony LLC shall employ DD Puntasri as a(n) Chef. DD Puntasri shall provide to Thai Harmony LLC the services described on the attached Exhibit A, which is made a part of this Contract by this reference. DD Puntasri accepts and agrees to such employment, and agrees to be subject to the general supervision, advice and direction of Thai Harmony LLC and Thai Harmony LLC's supervisory personnel.
2. BEST EFFORTS OF EMPLOYEE. DD Puntasri agrees to perform faithfully, industriously, and to the best of DD Puntasri's ability, experience, and talents, all of the duties that may be required by the express and implicit terms of this Contract, to the reasonable satisfaction of Thai Harmony LLC. Such duties shall be provided at such place(s) as the needs, business, or opportunities of Thai Harmony LLC may require from time to time.
3. COMPENSATION OF EMPLOYEE. As compensation for the services provided by DD Puntasri under this Contract, Thai Harmony LLC will pay DD Puntasri $90.00 per day. This amount shall be paid every two weeks, no later than seven days after the payroll period that ended on the preceding Wednesday and subject to applicable federal, state, and local withholding. Upon termination of this Contract, payments under this paragraph shall cease; provided, however, that DD Puntasri shall be entitled to payments for periods or partial periods that occurred prior to the date of termination and for which DD Puntasri has not yet been paid, and for any commission earned in accordance with Thai Harmony LLC's customary procedures, if applicable. Accrued vacation will be paid in accordance with state law and Thai Harmony LLC's customary procedures. This section of the Contract is included only for accounting and payroll purposes and should not be construed as establishing a minimum or definite term of employment.
4. EXPENSE REIMBURSEMENT. Thai Harmony LLC will reimburse DD Puntasri for the following "out-of-pocket" expenses in accordance with Thai Harmony LLC policies in effect from time to time:
- cost of job-related education, if course work is successfully completed with a grade of A or better
- Air Fare (job related)
5. RECOMMENDATIONS FOR IMPROVING OPERATIONS. DD Puntasri shall provide Thai Harmony LLC with all information, suggestions, and recommendations regarding Thai Harmony LLC's business, of which DD Puntasri has knowledge, that will be of benefit to Thai Harmony LLC.
6. CONFIDENTIALITY. DD Puntasri recognizes that Thai Harmony LLC has and will have information regarding the following:
- products
- product design
- processes
- business affairs
- Food & Drink Recipe
and other vital information items (collectively, "Information") which are valuable, special and unique assets of Thai Harmony LLC. DD Puntasri agrees that DD Puntasri will not at any time or in any manner, either directly or indirectly, divulge, disclose, or communicate any Information to any third party without the prior written consent of Thai Harmony LLC. DD Puntasri will protect the Information and treat it as strictly confidential. A violation by DD Puntasri of this paragraph shall be a material violation of this Contract and will justify legal and/or equitable relief.
7. UNAUTHORIZED DISCLOSURE OF INFORMATION.If it appears that DD Puntasri has disclosed (or has threatened to disclose) Information in violation of this Contract, Thai Harmony LLC shall be entitled to an injunction to restrain DD Puntasri from disclosing, in whole or in part, such Information, or from providing any services to any party to whom such Information has been disclosed or may be disclosed. Thai Harmony LLC shall not be prohibited by this provision from pursuing other remedies, including a claim for losses and damages.
8. CONFIDENTIALITY AFTER TERMINATION OF EMPLOYMENT. The confidentiality provisions of this Contract shall remain in full force and effect for a Two Year period after the voluntary or involuntary termination of DD Puntasri's employment. During such Two Year period, neither party shall make or permit the making of any public announcement or statement of any kind that DD Puntasri was formerly employed by or connected with Thai Harmony LLC.
9. NON-COMPETE AGREEMENT. DD Puntasri recognizes that the various items of Information are special and unique assets of the company and need to be protected from improper disclosure. In consideration of the disclosure of the Information to DD Puntasri, DD Puntasri agrees and covenants that during his or her employment by Thai Harmony LLC and for a period of Two Years following the termination of DD Puntasri's employment, whether such termination is voluntary or involuntary, DD Puntasri will not directly or indirectly engage in any business competitive with Thai Harmony LLC.
This covenant shall apply to the geographical area that includes the area within a 50-mile radius of Winston Salem, NC. Directly or indirectly engaging in any competitive business includes, but is not limited to: (i) engaging in a business as owner, partner, or agent, (ii) becoming an employee of any third party that is engaged in such business, (iii) becoming interested directly or indirectly in any such business, or (iv) soliciting any customer of Thai Harmony LLC for the benefit of a third party that is engaged in such business. DD Puntasri agrees that this non-compete provision will not adversely affect DD Puntasri's livelihood.
10. EMPLOYEE'S INABILITY TO CONTRACT FOR EMPLOYER. DD Puntasri shall not have the right to make any contracts or commitments for or on behalf of Thai Harmony LLC without first obtaining the express written consent of Thai Harmony LLC.
11. VACATION. DD Puntasri shall be entitled to 2 Days of paid vacation for each completed year of employment. Such vacation must be taken at a time mutually convenient to Thai Harmony LLC and DD Puntasri, and must be approved by Thai Harmony LLC. Requests for vacation shall be submitted to DD Puntasri's immediate supervisor 30 days in advance of the requested beginning date.
The provisions of this Vacation section are subject to change in accordance with Thai Harmony LLC policies in effect from time to time.
12. SICK LEAVE. After completion of 6 months of employment, DD Puntasri shall be entitled to 2 days day(s) unpaid time, due to illness or for personal business, for each calendar year beginning January 1, 2015. Sick leave benefits may not be converted into cash compensation. Sick leave may not be accumulated from year to year; unused benefits shall be forfeited.
If DD Puntasri is unable to work for more than 7 days because of sickness or total disability, and if DD Puntasri's unused sick leave is insufficient for such period, a maximum of all of DD Puntasri's unused vacation time shall be applied to such absence.
All requests for sick days off shall be made by DD Puntasri in accordance with Thai Harmony LLC policies in effect from time to time.
The provisions of this Sick Leave section are subject to change in accordance with Thai Harmony LLC policies in effect from time to time.
13. HOLIDAYS. DD Puntasri shall be entitled to 2 holidays with pay during each calendar year. All requests for holidays off shall be made by DD Puntasri in accordance with Thai Harmony LLC policies in effect from time to time.
The provisions of this Holidays section are subject to change in accordance with Thai Harmony LLC policies in effect from time to time.
14. BENEFITS. DD Puntasri shall be entitled to the following benefits:
- Accommodation
- Meal
as such benefits are provided in accordance with Thai Harmony LLC policies in effect from time to time.
15. TERM/TERMINATION. DD Puntasri's employment under this Contract shall be for 2 Years, beginning on December 21, 2015. This Contract may be terminated by Thai Harmony LLC upon No written notice, and by DD Puntasri upon 30 days written notice. If DD Puntasri is in violation of this Contract, Thai Harmony LLC may terminate employment without notice and with compensation to DD Puntasri only to the date of such termination. The compensation paid under this Contract shall be DD Puntasri's exclusive remedy.
16. TERMINATION FOR DISABILITY. Thai Harmony LLC shall have the option to terminate this Contract, if DD Puntasri becomes permanently disabled and is no longer able to perform the essential functions of the position with reasonable accommodation. Thai Harmony LLC shall exercise this option by giving 30 days written notice to DD Puntasri.
17. COMPLIANCE WITH EMPLOYER'S RULES. DD Puntasri agrees to comply with all of the rules and regulations of Thai Harmony LLC.
18. RETURN OF PROPERTY. Upon termination of this Contract, DD Puntasri shall deliver to Thai Harmony LLC all property which is Thai Harmony LLC's property or related to Thai Harmony LLC's business (including keys, records, notes, data, memoranda, models, and equipment) that is in DD Puntasri's possession or under DD Puntasri's control.
