Memorandum of Understanding
between
theJoint Standing Committee on Commerce, Industry and Banking of Thailand
and
theJapan External Trade Organization
For the promotion of business activities between the Kingdom of Thailand and Japan through mutual exchange of business and industrial information and other cooperative activities,
theJoint Standing Committee on Commerce, Industry and Banking of Thailand,
representedby Mr.SupantMongkolsuthree, Chairman
(hereinafter referred to as “JSCCIB”),
and
the Japan External Trade Organization,represented by Mr.Hiroyuki Ishige,Chairman and CEO(hereinafter referred to as“JETRO”
( “JSCCIB”and “JETRO ” are referred to as “the Parties" or “either Party”, etc.),
have agreed as follows:
1. This Memorandum of Understanding is aimed at stipulating necessary particulars to establish a cooperative framework between JSCCIBand JETRO,strengthen theirpartnership and achieve mutual development.
2. While working together, the Parties shall abide by one another’s regulations and provisions.
3. Cooperative Framework:
3.1 In order to accomplish the objective stipulated in article 1, the Parties shall cooperate in the following categories:
A) Projects organized and implemented by JSCCIBin consultation with JETRO to support Thai companies starting business in Japan Thai companies jointly evaluated and approved by JSCCIB and JETRO have the right to use the Invest Japan Business Support Center (“IBSC”)of JETRO explicitly stated below in article 3.1 B.
B) Support for Thai companies eligible for the projects in article 3.1 A by providing them with adequate information and assistance in establishing their operational bases in Japan through the IBSC, as well as by JETRO’s other servicessuch as organizing consultations with appropriate administrative bodies.
C) Any other cooperative activities for implementation of projects which the Parties deem appropriateto promote business activities between the two countries and mutually agree to implement.
3.2 Possible projects falling under article 3.1 A and 3.1 Bfor implementing support of Thai companies starting business in Japanare listed below
A) Visit and consultation byJETROfor potential investors to Japan ,
B) Joint seminar by JETRO and JSCCIB about the potential and attractiveness of investment into Japanas appropriate.
C) Publication on the current investment policy of Japan and potential and attractiveness of the Japanese market through the Thai mass media and journals in the Thai-business community.
4. Expenses occurred related to implement of the cooperative activities stipulated in article 3.1 shall be determined in advance by mutual consultation between the Parties.
5. The Parties shall undertake to observe this Memorandum and shall keep secret all confidential information and data obtained during any joint activities.
6. This Memorandum reflects the intentions of the Parties only and, with the exception of the confidentiality undertaking, this Memorandum shall not establish a legally binding agreement between the Parties
7. Term of Memorandum:
7.1 This Memorandum shall become effective on the date of signature and shall continue to be in effect for a period of one (1) year.
7.2 This Memorandum shall be automatically renewed excepting that the either Party notifies the other of its intent to amend or terminate this Memorandum in writing at least one (1) month before the date of automatic renewal.
8. Amicable Consultation:
8.1 In the event that certain matters arise which are not stipulated in this Memorandum, each Party shall consult with the other Party and make a decision.
8.2 Any dispute concerning the interpretation or application of the provisions of this Memorandum shall be settled amicably by the Parties through consultations and negotiations.
In Witness whereof the Parties hereto have signed this Memorandum in two (2) copies, equally valid, with the same content and effect, in English, on 2015.
