AL DUNLAP AT SUNBEAM CORPORATION
After completing the merger with Kimberly-Clark, Dunlap spent the next several months entertaining prospective offers; he was approached about the CEO positions at such companies as Apple Computer, RJR Nabisco, and Waste Management. Dunlap met with representatives of Michael Price and Michael Steinhard, whose mutual funds owned over 40 percent of Sunbeam's shares, to review the situation at Sunbeam. He later met with Michael Price, who convinced him to take the Sunbeam job despite the company's grim condition and its relatively small size (sales of $1.2 billion compared to Scott Paper's sales of $5 billion). The board offered Dunlap a $1 million annual salary, options to buy 2.5 million shares at $12.25, and a grant of 1 million unrestricted shares. Dunlap purchased $3 million worth of Sunbeam stock (245,000 shares at $12.25) from the company the day he became chairman and CEO; then, in February 1997, he purchased another $2 million on the open market. When the company announced the hiring of Al Dunlap, trading in the company's stock was halted because of an expected imbalance in buy and sell orders. The next moming, when trading was resumed, Sunbeam's stock rose from 12Vi to 18% on volume of 7.5 million shares (ver¬sus a normal trading volume of 300,000 shares).
