Confidentiality Agreement
This Agreement is made on the 15th June, 2016 at Rama 1 Road, Pathumwan, Bangkok by and between
“Bangkok Sky Tower Foundation” with its registered office located at 11th Floor Siam Tower, Unit-A1/2, and 989 Rama 1 Road, Pathumwan, Bangkok 10330, Thailand (hereafter referred as “the Foundation”)
And
“M.C.S Steel Public Company Limited” with its registered office located at Please Insert Address (hereafter referred as “the Recipient”)
Whereas, the Foundation, on behalf of the Foundation or others, will develop a project on the land situated on Khlong Ton Sai, Klongsan, Bangkok, with approximated area of 4.5 rais (hereafter referred to as “the Project”)
Whereas, the Foundation may engage the Recipient for the purpose of Steel Structure Works for the Foundation’s Observation Tower and any other applicable projects for the Foundation (hereafter referred to as “the Work”)
Whereas, the Recipient acknowledges that during the development and construction period until the official launching of the Project, any and all information with regard to the Project shall be confidential and shall not be disclosed by the Recipient to any third party in accordance with the terms of this Agreement,
THEREFORE, the Parties hereby agree that;
I).The Foundation will share data, materials, products, information, files and other information disclosed both verbally, electronically and physically regarding the Project and/or other projects related to the Foundation with the Recipient (hereafter referred to as “the Information”).
II) The Recipient agrees that the Information is to be considered confidential and proprietary to the Foundation and the Recipient shall hold the same in confidence and shall not use the Information or the Work for anything other than for the purposes of business with the Foundation in relation to the Project, and shall disclose it only to officers, directors, or other employees with a specific need to know and with the prior express approval of the Foundation, in this case represented by the Secretary or Chairman or authorized person of the Foundation (hereafter referred to as “the Authorized Party”. The Recipients will not disclose, publish or otherwise reveal any of the Information received from the Foundation to any other party whatsoever except with the specific prior written authorization of the Foundation by the Authorized Party.
III) The Project Information furnished in tangible form shall not be duplicated by the Recipient except for the purposes of business with regards to this Agreement. Upon the request of the Foundation, the Recipient shall return all the Information received in written or tangible form, including copies, or reproductions or other media containing the Information within ten (10) days of such request. At the Recipient’s option, any documents or other media developed by the Recipient containing the Project Information may be destroyed by the Recipient. The Recipient shall provide a written certificate to the Foundation regarding destruction within ten (10) days thereafter.
IIII) The obligations above all shall not apply to:
A. any disclosures required by law, regulation, government order, subpoena or order of any competent court, tribunal; or
B. any information in the public domain at the time of disclosure, provided that such information did not come into the public domain as the result of any unauthorized disclosure by the Recipient, any of its executives, employees, representatives or agents;
V) The obligations of the Recipient herein shall be effective from the date of signing of this Agreement. Further, the obligation not to disclose shall not be affected by bankruptcy, receivership, assignment, attachment or seizure procedures, whether initiated by or against the Recipient, by any change in relationship between the Recipient and the Foundation, nor by the rejection of any agreement between the Foundation and the Recipient, by a trustee of the Recipient in bankruptcy, or by the Recipient as a debtor-in-possession or the equivalent of any of the foregoing under local law.
VI) The Recipient may not assign this Agreement or any interest within without the Foundation’s express written consent. This Agreement shall be binding upon any signatory hereto and its successors and assigns. In the event that the Recipient is in default of this Agreement, the Foundation may use injunctive relief and any other measures to ensure that the Recipient complies with this Agreement.
VII) The undersigned party represents that it is fully authorized to enter into the Terms and Conditions of this Confidentiality Agreement.
VIII) This Agreement shall be governed under the laws of the Kingdom of Thailand. Any litigation or other court proceedings with respect to any matter arising from or in connection with this Agreement shall be subject to the jurisdiction of the courts of Thailand.
