STATEMENT OF WORK
Project Name LED Tube lighting at Western Digital in Thailand
Western Digital (Thailand) Company Limited (“WD”) and ---------------------- hereby enter into this Statement of Work (together with all addenda referenced herein, the (“SOW”) as of ------------------- and agree that this SOW, and any services and deliverables contemplated herein, shall be governed by, and subject to, that certain Facilities Services Agreement by and between WD and Supplier dated as of --------------- (the “Agreement”), which is hereby incorporated in this SOW by this reference. WD and Supplier further agree that this SOW shall constitute an additional and independent Exhibit A to the Agreement.
All capitalized terms not defined in this SOW shall have the same meanings set forth in the Agreement if such term is defined in the Agreement. For purposes of clarity and the avoidance of doubt, any services and deliverables contemplated in this SOW shall constitute “Services” as defined in the Agreement. No additional or different terms or conditions set forth in any document delivered by Supplier to WD, including without limitation quotes or invoices, shall be of any force or effect, and are hereby objected to and rejected by WD. In the event of any conflict between this SOW and the Agreement, the Agreement shall prevail. Any parts of this SOW or any other exhibit that are from WD shall always take precedence over (i) any parts that are from Supplier, and (ii) any Supplier documents that are incorporated or referenced in this SOW or any other exhibit or any Purchase Order, and (iii) any Supplier documents that are otherwise delivered to WD by Supplier.
Supplier shall provide the services described in this SOW to fully support the Project (as defined in Addendum A), and all such services shall be provided to WD’s satisfaction in a timely manner.
Additional details and requirements for the Project are set forth in Addendum A, which may be reasonably amended and revised by WD in the course of the development of the Project, with support and consultation from Supplier.
Certain design phases, timelines, deadlines and deliverables for the Project are set forth in Addendum A hereto, which may be reasonably amended and revised by WD in the course of the development of the Project, with support and consultation from Supplier.

Initial Design and Programming
Supplier shall study the existing site conditions and installed utilities located at Western Digital (Thailand) Co., Ltd., 140, Moo.2, Klongjig, Bangpa-In, Ayutthaya 13160 Thailand and shall:
1. Identify spatial requirements for additional M&E Facility Equipment.
2. Identify accuracy of available P&IDs.
3. If no P&ID is available, generate new drawings based on best effort site condition with emphasis on:
a. Piping layout
b. Points of connection (POC), highlighting used and available POCs
c. Instrumentation
d. Demolition scope if required
Supplier shall also include a study about the feasibility of utilizing the existing building structure for potential placement of M&E Facility equipment. This will include determining if existing drawings are available, or reverse engineering structures for additional strengthening if required.
Supplier Responsibilities and Services During Each Phase of a Project
Supplier’s responsibilities shall include, without limitation, each of the following services with respect to each phase of the Project:
Prepare the basis of design at the 25% stage of design development and obtain WD’s approval on long lead equipment selection.
Prepare pre-purchase specifications for WD to order all the long lead equipment for the Project. This equipment will be provided to one or more third party contractors selected by WD (“Contractor”) for installation as part of the Project.
Provide comprehensive detailed design of mechanical, electrical, architectural, civil structural, fire & life safety engineering drawings and specifications for the Project including bid instructions to third party contractors to support and perform the proposed scope of work for the Project (“Bidder Instructions”). Supplier shall include in the Bidder Instructions WD’s payment schedule and other terms provided by WD.
All utility tap off points will be clearly shown by Supplier on the drawings and Deliverables.
Supplier will conduct design review meetings with WD at 50%, 75% and 90% completion (as determined by WD in its sole discretion) and will incorporate all of WD’s comments in the drawings.
Prepare, submit and obtain approval from all applicable authorities the proposed design concept and ensure adherence to all Industrial Estate Planning guidelines and local regulatory requirements.
Supplier is responsible for maintaining all minutes of design meetings and ensuring that all items are tracked with ownership and ensuring prompt distribution.
Prepare construction tender drawings, and necessary documentation, to allow for a bid walk through by third party general contracting companies
Supplier shall be responsible to conduct the project bid walk through with WD’s representative to go over scope of work.
Coordinate and supervise project construction to meet agreed timeline and adherence to design specifications.
Ensure safe, clean, reliable, cost effective design and installation work.
Provide all necessary engineering support to manage the project activities during construction. Resolve construction conflicts. Supplier will be responsible for all correspondence dealing with the local authorities until CCC and other licenses are approved and obtained.
The handling of changing order work in the field will be clearly spelled out in the Bidder Instructions including the approval process and may include submission of unit rates as part of the initial bid.
Deliverables:
Supplier shall submit to WD the following documents and drawings (“Deliverables”), which shall be to WD’s satisfaction and of a level sufficient to call bid submission, including:
Engineering Calculation sheet.
Traffic plan.
Temporary plan to protect production line.
Site Plan, Architectural Conceptual Layouts, Sections and Elevations; Preliminary Structural Assessment of structure work.
M&E Schematic.
Shop drawing in detail, detailed Architectural Layout Drawings for all relate floor.
Detailed Elevations and Sections drawing.
Structural Plans and Details of the Extension to the existing structure.
Finishes, Doors and Windows Schedule.
Part Sections and Room Elevations, including Details.
Mechanical, Electrical and Process Design Drawings and Details.
Preparation of Budgetary Estimates.
Bid documents including pricing section, basic schedule of unit rates, specifications.
Material list and specification.
Preliminary Code Analysis.
All documents shall be submitted by Supplier to WD in hard copy in A-4 and drawing shall print in A-0, with a minimum 10 sets to be provided to WD. Supplier is responsible for all shipping costs (domestic and international). Electronic versions of the foregoing shall be provided by Supplier to WD in DVD format at Supplier’s sole cost at total 10 sets with box.
An internet download of the foregoing documents shall be made available but only as a backup option, and the printing cost shall be deducted from a final payment by WD without notification.
Supplier recognizes and acknowledges that the Deliverables will be used by WD as the basis for third parties to provide bids on the Project.
Bid Evaluation
Supplier will assist with the following:
Provide finalized budgetary estimate prior to calling of bid.
Conduct site show-round prior to closing of bid.
Provide technical review of all bid submissions and check the bidder(s)’ bid prices prior to final negotiation.
Prepare a draft letter of acceptance for WD to issue to the successful bidder.
Construction Phase
Upon award of a definitive contract to one or more bidders for the Project, Supplier shall provide periodic site inspection and weekly site meetings for the duration of the construction period. Within this period, the Supplier shall assist WD in reviewing any Contractor’s submittals for compliance with specifications.
Supplier shall review and comment on schematics, system drawings, M&E co-ordinate drawings, shop drawings and As-Built drawings submitted by the Contractor.
The Quantity Surveyor of the Supplier shall advise WD on change order costs (cost omissions and additions) submitted by a Contractor. The Quantity Surveyor shall also provide assistance in the valuation of works on site progress.
The Supplier shall also provide assistance in evaluating the Contractor’s claims arising from change orders and any subsequent claims or requests for extensions of time. In addition, Supplier shall provide a full-time technician who is assigned to supervise the construction.
Supplier shall work closely with any contractor selected by WD to revise the drawings, recheck the existing facility, change the materials and equipment which require matching to existing work conditions.
Securing Building Occupancy Permits
The process to obtain occupancy permits will be undertaken by Supplier, and coordinated by the Contractor.
Record Documentation and Final Completion
The Supplier shall prepare all testing & commissioning documents, including Functional Acceptance Test. As part of the activity on site, the Supplier, in conjunction with WD, shall provide assistance in establishing a Punch List at the Practical Completion stage.
The Supplier shall assist in the preparation of Final Accounts documentation for WD and Contractor’s agreement.
Additional Requirements of the Supplier
The following terms shall also apply to this SOW:
All designs, drawings, specifications, Deliverables and other documents, including those in electronic form, prepared by or on behalf of the Contractor shall be Work Product.
