2.3. Overview of ALMT
ALMT was established through merger of Tokyo Tungsten Co., Ltd. and Osaka Diamond Industrial
Co., Ltd. in 2000. ALMT is the immediate parent company of the A.L.M.T. Group with a total of 2,315
employees (consolidated) as of 31 December 2013. Its registered head office is located at Sumitomo
Fudosan Shiba Building, 1-11-11, Shiba, Minato-ku, Tokyo 105-0014, Japan.
ALMT, as a member of Sumitomo Electric Group, is responsible for manufacture and sales of a wide
range of tungsten products, molybdenum product and heatspreader materials supporting the
electronics industry together with precision diamond tools and cBN tools for procession automotive
and electric parts.
Under the Group’s business model, ALMT operates as a holding company of the Group for the ease of
the management. In addition, since the Group’s products are required to use diamonds as the main
raw material, ALMT is also responsible for R&D on diamond used in the Group’s productions.
2.4. Overview of ALTC
ALTC was firstly incorporated under the laws of Thailand as a limited company on 19 July 1991 under
the name of Osaka Diamond Industries (Thailand) Co., Ltd. However, it eventually changes its names
to A.L.M.T. (Thailand) Co., Ltd. in 2005. The major shareholder of ALTC is ALMT, the immediate
parent company, incorporate under the laws of Japan holding approximately 97% of ALTC’s
registered capital. The remaining shares are held by a number of individuals and companies
incorporated under the laws of Thailand.
During the financial year of 2013, ALTC had a registered capital of Baht 275 million. Its registered
head office is located at 90/2 Moo 9, Wellgrow Industrial Estate, Bang Na-Trad Road, Bang Wua,
Bang Pakong, Chachoengsao 24180, Thailand.
ALTC is a production base factory in South East Asia of ALMT, a member of Sumitomo Electric Group.
The principal business activity of ALTC is to manufacture and sell diamond dies, diamond wheel and
cutting tools. Most of its products are sold to its related parties—both domestic and oversea sales—for
further distribution in their respective markets (i.e. electronic and automotive industrial customers).

2.5. Business model of Sumitomo Electric Group and
ALTC
SEI, the ultimate parent company of Sumitomo Electric Group, governs the Group by overseeing the
overall of business operations. To enhance the efficiency of the Group’s businesses, the Sumitomo
Electric Group has developed a business model that clearly specifies the business activities to be
carried out by each individual company in the supply chain. This not only allows the group companies
to avoid duplication of work, but also allows each company in the group to fully invest its resources in
developing specialisation in the assigned area of business activity and improve operational efficiency.
With this reason, companies in the Group are therefore required to have business dealings with each
other.
According to the business model of the Group, ALTC is assigned as a Group manufacturing base of
diamond dies, diamond wheels, and cutting tools supplying to both related and unrelated companies.
The products of ALTC can be categorized into 3 main types as follows;
1. Diamond wheels
2. Diamond dies, and
3. Cutting tools
The supply chain in which ALTC operates can be categorised into 3 main supply chains according to
the functional profiles as illustrated below:

Under the first supply chain (Figure 1), ALTC is responsible for the functions except R&D, sales and
marketing as well as distribution functions, in which other related entities are responsible for these
functions. ALTC is a co-principal of the supply chain with ALMT, the immediate parent company.
ALMT is making business decision on the Group’s products including R&D, and technical know-how.
While ALTC still has decision making authority in its operation on the commercial aspects. For
example, ALTC decides whether to enter into the transactions without any approval from other
entities.
