Termination of Contract, from whatever cause, shall be without
prejudice to the rights of the parties accrued under the
Contract up to the time of termination. The following events are
regarded as Purchaser’s Termination and Purchaser is obliged
to pay ABB all outstanding invoices as well as costs and
charges calculated based upon Clause 7.
(a) The Contract is terminated by the Purchaser.
(b) Delivery is held or rescheduled beyond a period of three
months.
(c) Any material breach of the Contract by Purchaser.
(d) If after 30 days notice, Purchaser has failed to pay an
amount due, ABB shall be entitled to terminate the Contract.
If ABB wishes to terminate the Contract, it shall immediately
inform Purchaser in writing. This applies even if an extension
of the delivery time has been agreed. In case of termination of
the Contract, ABB shall be entitled to payment of those parts
of the Works which have been carried out.
