2.1 The Guarantor irrevocably and subject to the conditions of this Bridging Contract is liable to the Owner, in forms of a financial guarantee, for due performance by the Onshore Obligor of all of its obligations and liabilities under and in accordance with the Supervision Contract . If at any time the Onshore Obligor fails or has failed in performing any of its obligations under the Supervision Contract or in making payments of any sums payable pursuant thereto, or commits any breach under the Supervision Contract, the Guarantor shall within due time upon written notice from the Owner take whatever steps or actions that may be necessary to achieve performance of the Onshore Obligor's obligations under the Supervision Contract and pay any sums that may be payable in consequence of the non-performance of the Onshore Obligor of any of such obligations according to the terms of the Supervision Contract. In the case of a default in payment by the Onshore Obligor, upon first written request by the Owner stating that the Onshore Obligor has failed to meet any payment obligations under the Supervision Contract as and when due, the Guarantor shall within due time pay the requested amounts to the Owner to the extent due and legally justified or undisputed. The Guarantor’s liability under this Bridging Contract shall be accessory to the Onshore Obligor’s obligations under the Supervision Contract and the Guarantor shall be entitled to the benefit of any set-off, counterclaim or defence to which the Onshore Obligor would be entitled under the Supervision Contract.
