ARTICLE 36 TOTAL LIMIT OF LIABILITY
CONTRACTOR’s total limit of liability under this CONTRACT shall not exceed the CONTRACT PRICE. This limit of liability shall exclude:
Obligation to complete the WORK and achieve FINAL ACCEPTANCE
Infringement of Intellectual Property requirement as stated in Article 20
Any liability as a result of gross negligence or wilful misconduct
Pollution occurred as a result of the performance of CONTRACTOR
ARTICLE 37 FINANCIERS’REQUIREMENTS
The CONTRACTOR hereby agrees and acknowledges, without prejudice to any other provisions of this CONTRACT, that, if and so required by the OWNER from time to time, the CONTRACTOR shall co-operate with the OWNER in the execution, amendment and delivery of any documents which may be reasonably required in connection with the financing or re-financing of the WORK, the PLANT and/or the SITE, each in a form reasonably acceptable to the OWNER and the financiers.
ARTICLE 38 ANTI-CORRUPTION
38.1 As and when required by the Notification of the National Anti-Corruption Commission Concerning Principles and Methods of Preparing Revenue and Expenses Accounts of Project between Individual/Company and Government Agencies B.E. 2554 (as amended from time to time) (“Notification”), CONTRACTOR is obliged to prepare and submit the account book showing all expenses related to the WORK in accordance with the Organic Act on Counter Corruption B.E. 2542 and the Notification.
38.2 CONTRACTOR shall not be regarded as a person who fails to declare the account book or declare with incorrect or incomplete details.
38.3 CONTRACTOR shall receive the payment from OWNER through the bank account except in case that the payment in any time does not exceed 30,000 Baht; Bidder may receive such payment in cash.
38.4 CONTRACTOR shall read the details and follow the instructions on the website of the Office of the National Anti-Corruption Commission (www.nacc.go.th).
