13. WARRANTIES, REPRESENTATIONS, C

13. WARRANTIES, REPRESENTATIONS, COVERNANTS AND UNDERTAKINGS
13.1. The parties represent and warrant to each that:-
13.1.1 each party is duly incorporated and validly existing with full power and authority to conduct its business in the jurisdiction where it carries on business and is not in liquidation and no steps have been taken by any person for or with a view to the appointment of a liquidator, receiver and/or manager or judicial manager of each party or of any of its respective assets or undertakings;
13.1.2 the memorandum and articles of association of each party includes provisions which give power, and all necessary corporate authority has been obtained and action taken for each party to execute and deliver, and perform the transactions contemplated herein, and this Agreement constitutes valid and binding obligations of each party, enforceable in accordance with its terms; and
13.1.3 neither the execution and delivery of this Agreement nor the performance of this Agreement does or will contravene or constitute a default under, or cause to be exceeded any limitation on each party or the powers of its directors imposed by or contained in (i) any law by which each party or any of its assets are bound or affected, (ii) its memorandum and articles of association or (iii) any agreement to which each party is privy to or by which any of its assets are bound; and
13.1.4 each party is solvent and no petition has been filed or presented for its winding-up (whether compulsory or voluntary); it has not convened any meeting of its creditors to make any arrangement or composition with them; no administration order has been made against it; no receiver, administrative receiver and/or manager has been appointed in respect of any of its assets or undertakings.
13.2. In consideration of the Company agreeing, at the request of the Customer, to provide the Services to the Customer, the Customer covenants and undertakes to the Company as follows;-
13.2.1 to comply with all laws, rules and regulation in relation to the use of the Designated Equipment, as may be advised by the Company to the Customer from time to time during the Tenure;
13.2.2 to conform to any current policies / rules imposed by the Company which includes but not limited to any rules of acceptance, privacy policy and / or any other policies / rules which may be imposed by the Company from time to time particularly pursuant to the use of the Services;
13.2.3 to use the Services only for lawful purposes, and in a manner which does not infringe the law and/or the rights of any third party. This shall include but not is not limited to the transmission of information, contents, statements or materials that may in any way infringe the laws, e.g. material or information which is protected under any intellectual property rights or law of confidentiality in any jurisdiction, or material which contain obscene or offensive content or of defamatory, racially or ethnically objectionable;
13.2.4 to keep Designated Equipment, the Customer's own equipment and the Company's equipment (if any) as set out at the Site in good condition and be fully responsible for the Company's equipment (if any) for any loss or damage incurred at the Site unless the same results from any default of the Company. Any cost for repairing the Company's equipment resulting from such default shall be borne by the Customer;
13.2.5 to obtain the Company's prior written approval before making any changes to the Designated Equipment configuration and interconnecting the private network to any public network;
13.2.6 to grant the Company such access to the Site as the Company may reasonably require from time to time during the Tenure, in order to discharge its obligations under this Agreement;
13.2.7 to take all reasonable precautions to protect the health and safety of the Company's employees, agents, contractors and sub-contractors while at the Site and at the Customer's premises to carry out any services relating to the Designated Equipment;
13.2.8 at its own expense, to add or install any relevant equipment if required by the Company (including installing internal wiring and sockets at the Site), or if required by any applicable law;
13.2.9 to make available such facilities as the Company shall reasonably require in order to discharge its obligations in this Agreement including without limitation adequate work space, storage, office furniture and equipment; and
13.2.10 not to engage in any action that may be considered as unethical systems abuse.
13.3 In consideration of the payment by the Customer of the Fee, the Company covenants and undertakes to the Customer that it shall;-
13.3.1 perform the Services with reasonable care and skill;
13.3.2 perform the Technical Support within the stipulated time frame as set out in
Clause 6;

13.2 .7 จะใช้ความระมัดระวังตามสมควรเพื่อปกป้องสุขภาพและความปลอดภัยของพนักงานของ บริษัท ตัวแทน ผู้รับเหมาและผู้รับเหมาย่อยในขณะที่ในเว็บไซต์และที่สถานที่ของลูกค้าเพื่อดำเนินการบริการใด ๆที่เกี่ยวข้องกับเขตอุปกรณ์ ;
