Seller’s sole expense, has successfully completed all required testing (including completion of the production-part
approval process (PPAP)) and Buyer has successfully conducted a tooling audit in accordance with Buyer’s requirements.
All repair, replacement costs and maintenance costs with respect to Special Tooling are the sole responsibility of Seller.
Upon Buyer’s request, Seller will provide Buyer with CAD models and/or drawings for all Special Tooling. All Special
Tooling (including Special Tooling replaced as a result of perpetual tooling replacement) is the property of Buyer or its
customers and will be marked as directed by Buyer. Buyer may, at any time, for any reason and without payment of any
kind, retake possession of any Special Tooling without the necessity of notice, a hearing or a court order, which rights, if
any, are waived by Seller. Upon Buyer’s request, Special Tooling and any related documentation and electronic files will
be immediately released to Buyer or delivered to Buyer by Seller. All equipment, gauging and tooling necessary for
production of the Products that is not identified in Table 10 is the sole responsibility of Seller. If Seller is required to
invest in capital equipment to fulfill this Agreement, such investment will be at Seller’s sole cost. Payment for tooling
will not be authorized unless a Vendor Tooling Registration Form is completed, as required by Section 5.3 of the Supplier
Manual (as defined below).
