A. General Vision & Structural Integration
Overall objective of our current & common considerations (M&A-Project) is the integration of
Recycle-Engineering Co. Ltd., Thailand (RE) into the ECO-Group (with headquarters in Singapore) and
the transfer and the further development of its current (local) activities - especially in the field of
„Solvent-Recovery“ - into an autonomous / self-dependent New Co. (Idea: Profit-Center Solvent
Recovery SEA / „PC-SR“) for the overall region Southeast-Asia / ASEAN. The leadership (commercial &
technical) of the New Co. should be provided by an own management located in xx / preferably
Bangkok.
B. Referring to this vision, 4 main objectives are crucial:
1. How can we create a „valuable overall package“ for the current shareholders of RE
to convince / motivate them to purchase / transfer the majority of their shares to ECO
2. How can we integrate / transfer Recycle-Engineering into a New Co. (within the ECO-Group?)
3. How can we retain and transfer the know-how of the current Recycle-shareholders / -experts
into the New Co. (and into overall ECO-Group)?
4. How can we organize the further development of the New Co. within the Thai- / ASEANmarket?

2. Proposal: Role, key-tasks & responsibilities of the current shareholders of Recycle
Engineering Co. Ltd., Thailand with the objective to retain their skills, knowledge &
experience within the New Co.
2a. „Head of Government Relations Thailand“ (HGRT) - Khun Patikarn Mahuttanaraks
Establishment of reliable relations with a permanent dialog with the representatives in
charge of environmental issues at Thai Government
Establishment of a political vision statement of the New Co. in Thailand as well as the
support of local activities in terms of public affairs and political marketing
Support of the development and realization of local strategies of the business unit in
Thailand in cooperation with the „Executive Technology Team“ (ET, see 2b.) at the New
Co. (Solvent-Recovery & more …)

Support of ET´s permanent market survey in Thailand and early detection of relevant
impacts from current legal initiatives (opportunities, risks & consequences …)
Support of local M&A-Activities in Thailand in cooperation with ET and the ECO M&ATeam
Organizational Integration / Individual Performance & Incentives
The HGRT works as a consultant for the New Co. especially for its business unit in
Thailand and reports directly to the Board of Management (of the New Co.)
Base for the evaluation of his overall performance and his individual incentives is an
annual objective-agreement with the Board of Management of the New Co. according to
its local strategy
2b. „Technical Director“ (TD) - Mr. Thomas Sack within his „Executive Technology
Team“ (ET)
Development and realization of local strategies for the specific markets / countries in
Southeast-Asia / ASEAN in cooperation with the particular local business-units (SolventRC

Ensuring, optimization, monitoring and further development of the functional
performance (quality management) of the local business-units as well as the overall
knowledge-transfer within the New Co. (best-practice)
Education & Training of all employees (skill-management) in cooperation with the local
business-units (esp. at the common central training-center at the RE-plant of today in
Thailand)
Research- & Development (Innovation-Management): current and new products and
processes
M&A-Activities (in cooperation with the ECO M&A-Team)
Representation of the New Co. within all groupwide technical committees / panels of
ECO

Organizational Integration of the TD / Leadership-principles and -tools
Leadership of the New Co. by the ECO-HQ, Singapore
In cooperation with the Managing Director, the TD is in charge of the overall results of
the New Co.; thus both persons are also responsible for all particular profits, expenses
and losses. Extraordinary expenses / investments (above xx S$) have to be applied /
requested and authorized by ECO-HQ separately.
The TD directly reports to xx at the ECO-HQ in Singapore.
Base for the evaluation of his overall performance is an annual objective-agreement
(KPIs, financial objectives incl. investmentplan), which also lays the fundament for the
individual incentive-systems of the ET-members.
The (permanent) monitoring of the financial / economical status-quo will be provided by
